New Business Law: What You Must Do by April 1, 2026

If your company was registered in Georgia before January 1, 2022, you have until April 1, 2026, to comply with the latest amendments to Georgia’s Law on Entrepreneurs - or risk having your business suspended.

These legislative changes are part of Georgia’s broader push to improve corporate transparency, digital governance, and legal clarity for entrepreneurs. But the clock is ticking - non-compliance can lead to suspension or even liquidation.
What’s New in the Law?
Here are the key highlights of the new regulations:
- Mandatory Re-registration: All companies registered before 2022 must update their documentation to align with the new law. That includes LLCs (შპს), JSCs (სს), cooperatives, N(N)LEs (ააიპ), and more.
- Standard vs. Individual Charters: You now have two options: Use the standard charter approved by the Ministry of Justice, or Submit your own charter, as long as it aligns with the law.
- Digital Communication Portal: Businesses are now required to register on my.gov.ge to: Receive notices from the Public Registry, Publish general meeting results, Access legal services electronically.
- Voting Rules for Changes: If your company has multiple partners, changes to the charter now require approval from at least 75% of voting shareholders.
- Penalties for Non-Compliance: If you miss the deadline: Your company’s registration is suspended, You have 3 months to fix the issues, Otherwise, you face cancellation of registration and possible liquidation proceedings.
What Do You Need to Prepare?
To comply with the law, your company should prepare and submit:
- Updated Founders’ Agreement
- Standard or custom Charter
- Minutes of the general meeting
- Executive's written consent to appointment
- Registration on my.gov.ge
