If your company was registered in Georgia before January 1, 2022, you have until April 1, 2026, to comply with the latest amendments to Georgia’s Law on Entrepreneurs - or risk having your business suspended.

These legislative changes are part of Georgia’s broader push to improve corporate transparency, digital governance, and legal clarity for entrepreneurs. But the clock is ticking - non-compliance can lead to suspension or even liquidation.

What’s New in the Law?

Here are the key highlights of the new regulations:

Mandatory Re-registration: All companies registered before 2022 must update their documentation to align with the new law. That includes LLCs (შპს), JSCs (სს), cooperatives, N(N)LEs (ააიპ), and more.
Standard vs. Individual Charters: You now have two options: Use the standard charter approved by the Ministry of Justice, or Submit your own charter, as long as it aligns with the law.
Digital Communication Portal: Businesses are now required to register on my.gov.ge to: Receive notices from the Public Registry, Publish general meeting results, Access legal services electronically.
Voting Rules for Changes: If your company has multiple partners, changes to the charter now require approval from at least 75% of voting shareholders.
Penalties for Non-Compliance: If you miss the deadline: Your company’s registration is suspended, You have 3 months to fix the issues, Otherwise, you face cancellation of registration and possible liquidation proceedings.
