Not-for-Profit Law

Non-entrepreneurial law in Georgia governs the legal relationships surrounding the establishment, operation, and management of non-profit legal entities.

Although this area of law differs significantly from commercial activity in its purpose and nature, it is gaining increasing importance—particularly in the context of interactions with local and international donors, grant funding, and the transparency of public-facing activities.

What Does Non-Profit Law Include?

Non-profit law primarily encompasses the following areas:

  • Registration of non-entrepreneurial (non-profit) legal entities
  • Drafting of charters and regulation of internal relations between founders
  • Formation and structuring of governing bodies and their powers
  • Drafting and execution of grant agreements
  • Standards for financial transparency and accountability

One of the key features of this field is that Georgian legislation does not comprehensively regulate many aspects of non-profit governance. As a result, much of an organization’s internal structure and operational procedures are determined through its charter and founding agreement.

This specificity makes it essential that foundational documents clearly reflect both the scope of activities and the decision-making and management structure. Authorities and responsibilities of different bodies (executive, governing, supervisory) must be clearly delineated, including voting rules and decision-making procedures.

Otherwise, legal deficiencies may arise during both the registration process and the post-establishment operation of the entity.

Grants and Recent Legislative Developments

The Law on Grants defines the legal status of grant providers and recipients, grant purposes, conditions, and reporting obligations. Amendments to the law have tightened administrative requirements, particularly for non-profits connected with public sector funding. This has made the involvement of legal professionals essential in planning and administering grants.

In April 2025, a key amendment was introduced: grants to NGOs and media organizations are now prohibited without prior government approval.

Another crucial development is the “Foreign Agents Registration Act,” adopted on 1 April 2025, which defines the registration rules and requirements for entities financed by foreign principals.

This law directly affects non-profit entities funded from abroad, establishing broad and significant obligations. Legal consultation is crucial to ensure full compliance with the new framework.
